The former Germany international replaced Ray Mathias in the summer but led County to just three wins from 19 games in the Blue Square Premier League.
Hamann said: "Following a meeting with Lord Snape and myself I have tendered my resignation as manager of Stockport County.
"Having been introduced to the club by Tony Evans, I presumed that the takeover by him and his consortium would have taken place. Various promises were made to me at the time of my appointment which subsequently did not take place.
"I feel therefore unable to continue in the post."
Speaking to Sky Sports News, Hamann confirmed that Stockport's breakdown in negotiations with Evans' consortium was the reason for his departure.
"As I understood at the time the two parties were pretty close to agreeing a deal and that was the reason for me to come to Stockport in the first place," he said.
"The plans didn't materialise because the takeover didn't go through. There was still a chance in the last few weeks but Tony Evans pulling out of the deal has made my position untenable.
"As it happened the plans we had or the promises which were made didn't materialise and for that reason I didn't see myself in a position to carry on as wanted."
Nevertheless the 38-year-old is keen to make a quick return to management despite his difficult baptism with County, who currently sit two points above the Blue Square Bet Premier relegation zone.
"Some players come in and they go out and see it's not for them, but I've thoroughly enjoyed the last four months in my first managerial job," he added.
"I see now that it's made for me and I want to carry on doing it.
"It's unfortunate that I won't be carrying on there due to the circumstances, but I want to stay in football and I want to carry on managing."

Finally, sorry Didi but the wave of optimism when you joined was soon extinguished with the terrible football that we have witnessed. We have some good players, they need leadership. We are currently relegation candidates, who can save us.

Thanks for resigning Didi, but it wasn't for you. You go on to say that promises were made that didn't materialise but that's just a cover up, you just didn't have the know how in this League. Let's hope that the next appointment is a good one, we're long overdue.

Totally indifferent to the news. Probably a good move he's gone but who in their right mind would want to take up the job? Frankly this farce has gone on so long I'm incapable of caring - and I know many supporters feel the same way and have decided not to attend anymore like me. I think Hamann's statement says it all: He's clearly using the Tony Evan's event as an excuse for his own inadequacies and yet the board have still to explain why they didn't keep their promises to Did and explain why they still haven't come up with a superior alternative to what Tony Evans was offering. I'll not hold my breath waiting for a response from the board and meanwhile attendances will drift down to 2500 then sub-2000 very quickly.
It just goes to show that great players don't always make good managers.

Gary ablett and now Dietmar Hamann. 2 managers who were given the job by people who never actually got round to owning the club. I really couldnt imagine a worse way to run a club.
