Hatton was set to fight Judah last month on the undercard of the Floyd Mayweather Jnr-Juan Manuel Marquez bout before it was cancelled.
N'Dou then claimed he was set to face Hatton, only for the Judah fight to be re-scheduled for next month when Mayweather and Marquez are scheduled to go head-to-head.
But following Judah's change of heart, the Hatton and N'Dou camps are in talks with the fight set to be confirmed by the weekend.
Hatton said: "The last few weeks have been absolutely ridiculous but until I see Lovemore's name on a contract, I'm not taking anything for granted.
"The fights just seemed to be falling apart one by one while I've been out running and training.
"Hopefully we're close to doing a deal for the fight I always wanted."
