Giles Insurance Brokers has acquired the Wigan-based company, which employs 30 staff.
Kerwin Smith, set up in 1988, provides cover to businesses and has a division for the courier and fleet industries. It recently secured a deal with distribution giant DHL to provide cover for more than 6,000 drivers.
Giles, which was the subject of a management buyout last summer and aims to double in size to have premiums of £300m within two years, said it would expand Kerwin Smith and recruit staff.
Steve Smith, managing director at the Wigan firm, said: "Giles is an ambitious, fast-growing company, and we are delighted to become part of its success story.
"The company can press ahead with our strategy for growth and can target new opportunities, including expanding our commercial motor business."
